Important
This page is a draft that has been through Zappmit’s internal compliance review. It is not yet in effect. It has not been approved by any government body or regulator, and it has not yet been signed off by external legal counsel. Online ordering, payment and delivery are currently disabled on this website.
Scope
These Merchant Terms apply to any business or individual that lists goods or services on the Zappmit platform ("merchant", "you"). Read them together with the general Terms and your Merchant Partner Agreement or onboarding documents, where one applies. If your agreement and this page differ, your signed agreement prevails.
Your relationship with Zappmit
You run your own business. You are the seller of your goods or the provider of your services, and you decide what to list and at what price. Zappmit provides the platform, order handling, payment collection and, where a rider is assigned, delivery. These terms do not make you an employee, agent or partner of Zappmit in the legal sense of those words, and do not create a joint venture.
Merchant onboarding
Onboarding requires the business and verification information requested during registration. Zappmit may accept, reject or ask for more information before activating an account, and it may refuse a business that cannot show that it can lawfully supply what it wants to list.
KYC / business information
Give accurate business identity and know-your-customer information when asked, and update it when it changes. Zappmit may verify it before or after onboarding.
Licences and registrations
You must hold every licence, registration and permission the law requires for what you sell, for your premises and for your activity, and keep it valid. A food business must hold a valid FSSAI licence or registration for the kind of food business it carries on, and must give Zappmit its licence or registration number and a copy of the document during onboarding. Zappmit may refuse to list a food business that does not provide one, and may remove a listing whose licence has expired or is shown to be invalid.
Zappmit LLP holds Central FSSAI licence number 12826999000895, issued on 13 October 2026. The licence records Zappmit LLP’s kind of business as Trade/Retail, e-Commerce, closed network model. It is Zappmit LLP’s own licence for its own e-commerce activity. It is not a licence for any independent restaurant, kitchen, store or other merchant listed on the platform, and it does not cover their premises or food-business activities. Each food business that sells through Zappmit must hold, and is responsible for displaying, its own FSSAI licence or registration, which is separate from Zappmit’s. Zappmit’s duties as a platform are described in the Merchant Terms.
Zappmit's own licence does not cover your business. Do not tell customers or anyone else that it does. Tell Zappmit promptly if your licence is suspended, cancelled or lapses.
GST information
If you are registered under GST, or the law requires you to be, give your accurate GST registration number and keep it current. If you are not registered, say so. Zappmit does not assume that every merchant is registered. You are responsible for your own registration, returns and tax payments.
Taxes are charged as the law requires, and this page is not tax advice. Three cases are kept distinct. First, a seller’s own supply of goods or services is taxed under the seller’s registration and is invoiced by the seller. Second, where the law makes Zappmit liable to pay tax on a supply made through the platform as an electronic commerce operator, Zappmit accounts for that tax and the document you receive says so. Section 9(5) of the CGST Act, 2017 does this for restaurant services ordered through the platform and, since 22 September 2025, for local delivery services supplied through it by persons who are not required to register for GST. On goods that merchants sell through the platform, Zappmit collects tax at source under section 52 where that section applies. Third, Zappmit’s own charges, such as delivery, platform or convenience fees, are taxed under Zappmit’s GST registration and shown in Zappmit’s invoice. Tax rates are not stated here because they change; the rate applied to each charge is shown on your invoice. Where a refund applies, tax is adjusted through a credit note or corrected invoice.
Bank / settlement information
Give accurate bank or settlement account details for payouts and tell us promptly of any change. This information is handled under the Privacy Policy.
What is shown to customers
The law requires Zappmit to show customers certain details about each seller. These include your business name, whether it is registered, your geographic address, customer-care contact, your grievance contact and any rating or aggregated feedback. You must provide the information needed for this, including the total price with a breakup of each compulsory and voluntary charge, the terms of returns, refunds and exchange, delivery details and, for goods, the country of origin and expiry or best-before date where they apply. You confirm that your descriptions and images of goods and services are accurate.
Product / service accuracy
You are responsible for the accuracy of your listings, including descriptions, images, prices and availability. A listing must not mislead and must reflect what you can supply.
Pricing
Set lawful, accurate prices and honour the price shown to a customer when the order was placed, except for a genuine pricing error. For packaged goods the price may not exceed the maximum retail price on the pack.
Inventory / availability
Keep listed inventory and availability reasonably current and mark an item or service unavailable promptly when you cannot fulfil it. For food, keep your menu timings accurate.
Order acceptance
Accept, prepare or decline incoming orders promptly. Use the platform to say so if you cannot fulfil an order as placed.
Order preparation
Prepare orders accurately and within the time reasonably expected for your category so that handover to the customer or rider is not delayed without cause.
Packaging
Package goods suitably for safe transport, including any category rules that apply, such as food-safe packaging and handling of fragile items.
Quality
You are responsible for the quality, safety and lawfulness of what you supply, and for the licences, permits and standards that apply to your business.
Food safety, labelling and recalls
The food business that prepares or packs the food is responsible for its safety, hygiene, labelling, allergen information and vegetarian or non-vegetarian declaration. Zappmit, as the platform, is responsible for showing the information that the business supplies, for acting on complaints and for removing a listing that is non-compliant when it becomes aware of the problem. Report a food-safety concern to the contact in the Grievance Redressal page and, where you wish, to the State Food Safety authority.
- Prepare, store and pack food under the hygiene and sanitary requirements that apply to your licence.
- Give accurate allergen information and the vegetarian or non-vegetarian declaration for each food item, and keep your menu accurate. Do not make a health or nutrition claim you cannot support.
- Do not hand over food that is expired, unfit or close to expiry. Pre-packaged food must carry its required label information, and the claims in your listing must match the label.
- Tell Zappmit at once if you become aware of a food-safety problem, recall or complaint that could affect customers, and cooperate with Zappmit and the food safety authority in tracing and withdrawing the food.
- Hand food to the rider in clean, sealed packaging, separate from non-food items.
Zappmit may delist a product or suspend a listing when a food-safety concern arises, and it may share relevant order records with the authority when the law requires.
Packaged goods declarations
For packaged goods, the manufacturer, packer or importer is responsible for the declarations on the pack, which include name and address, net quantity, maximum retail price, best-before or use-by date and country of origin where applicable. Under the Legal Metrology (Packaged Commodities) Rules, 2011, Zappmit as an e-commerce entity must display the mandatory declarations on the platform, and the seller must supply them correctly.
If you list packaged goods you must give the declarations the Legal Metrology (Packaged Commodities) Rules, 2011 require, including the manufacturer, packer or importer, net quantity, maximum retail price, best-before or use-by date and country of origin where applicable. You are responsible for their accuracy.
Regulated categories
Medicine, Doctor Appointments, Cab Booking, Stationery and Marketplace are coming soon and cannot be listed today. Each will open only after Zappmit has confirmed that the legal requirements for it can be met. For example, medicines may be listed only by a licensed pharmacy that supplies them under its own pharmacist and against a valid prescription where the law requires one. Doctors may be listed only after verification of their registration with the National Medical Commission or a State Medical Council. Cab services need the transport licensing that applies in West Bengal. Do not list or offer any of these through Zappmit before Zappmit tells you in writing that the category is open.
Customer complaints
Respond in good faith to complaints about your goods or services and cooperate with Zappmit when a complaint is escalated through support or Grievance Redressal. Give Zappmit the contact of your grievance officer or a person who can handle complaints, where the law requires it.
Cancellations
A merchant may cancel an accepted order only where reasonably necessary, including because the product or service is unavailable, for safety concerns, because of a regulatory restriction, because of a technical failure materially affecting fulfilment, because of a Force Majeure Event, or in other circumstances approved by Zappmit. The merchant is required to provide the reason for cancellation through the platform.
Outside these grounds, do not cancel accepted orders without reasonable cause. Repeated unjustified cancellations may affect your standing. Customer cancellation is covered by the Cancellation Policy. Whether you can cancel, and whether a cancellation charge applies, depends on how far the order has progressed. Once a merchant has begun preparing an order, or an order is out for delivery, cancellation may be limited for reasons such as perishability. A cancellation charge applies only if it was shown to you before you confirmed the order or the cancellation. Under rule 4(8) of the Consumer Protection (E-Commerce) Rules, 2020 Zappmit does not impose cancellation charges on a consumer unless it bears similar charges when it cancels an order unilaterally for any reason. No fixed charge or percentage applies to all orders.
Refund cooperation
Where a refund is due under the Refund Policy because of an issue with your goods or services, you agree to cooperate, including by giving information relevant to the complaint. Where the issue is yours, the refund and any adjustment against your settlement are handled as your agreement and the Refund Policy provide.
Tax responsibilities
Invoices
You are responsible for the invoices and tax documents the law requires for your own supplies. For some supplies the law makes Zappmit the party that pays the tax and issues the document, and the order record shows which applies. Do not issue a second invoice for a supply for which Zappmit has issued one. Zappmit issues a separate invoice to you for its own commission or fees where they apply.
Prohibited goods / services
Do not list goods or services that are illegal, unlicensed, unsafe or otherwise prohibited by law or by Zappmit's platform rules.
Intellectual property
You confirm that you have the rights to the content you upload, including images, descriptions and brand names, and that it does not infringe a third party's rights.
Fraud
Do not engage in fraud, including fictitious orders, price manipulation or misreporting fulfilment. Zappmit may investigate and take appropriate action.
Account security
You are responsible for the security of your merchant account and for activity under it, including by staff you authorise.
Staff access
If you let staff or agents use your account, you remain responsible for their conduct on the platform as if it were your own.
Settlements
Where Zappmit collects payment on a merchant’s behalf, settlement to the merchant follows the schedule in the merchant dashboard or the agreement, not a schedule fixed on this page. Settlement can be delayed by bank holidays, payment provider processing, fraud checks, chargebacks, legal requirements or technical failures. A settlement statement shows details such as order number, date, customer payment, refunds, taxes, adjustments, net settlement and settlement date.
Commission / fees
Fees, commission and settlement terms depend on the service category and on your Merchant Partner Agreement, which prevails over this page. This page does not set any fee or commission rate. Any fee that applies to you is shown to you in the merchant app or agreement before you accept it.
Home Services commercial terms
Home Service Providers operate under commercial terms separately agreed with Zappmit, which may include a commission. The applicable terms are in your merchant agreement or onboarding documentation. Home Services is a launch service, and each provider must satisfy the verification steps in the Merchant Terms before being shown to customers.
Doctors / healthcare professionals
Doctor Appointments is a coming-soon service and is not available. When it is introduced, doctors and healthcare professionals will be listed only after Zappmit has verified their registration with the National Medical Commission or a State Medical Council, and their commercial terms will be set out in their agreement.
Customer-facing charges
A customer may be charged for the goods or service, delivery, packaging, platform or convenience fees, and applicable taxes. Where Zappmit applies a surge or similar charge, or a cancellation charge, it is shown before the customer confirms the order. The total price is shown as a single figure together with a breakup of each compulsory and voluntary charge, as rules 5 and 6 of the Consumer Protection (E-Commerce) Rules, 2020 require.
Future commercial changes
Zappmit may change fees or commercial terms in future in accordance with your agreement and with notice as that agreement or the law requires.
Platform rules
Follow Zappmit's platform policies and operating guidelines as communicated to you, in addition to these terms.
Suspension
Zappmit may suspend your account for breach of these terms, suspected fraud, repeated customer complaints, a food-safety concern or legal requirements, with notice where practicable.
Termination
Either party may end the relationship as these terms and your agreement allow. Ending it does not affect orders already accepted, settlements due, or any duty that continues by law, such as keeping tax records.
Data protection
Handle customer personal data you receive through the platform as the law requires and under the Privacy Policy, and use it only to fulfil orders and for related purposes. Do not copy it for marketing.
Confidentiality
Keep non-public information shared between you and Zappmit confidential and use it only for the purposes of your relationship.
Contact
Questions about these terms can be sent to contact@zappmit.com.
